Terms and Conditions

This is a courtesy translation. The Spanish version is the only legally binding text and prevails in case of any discrepancy.
INTRODUCTION
Welcome to Yenuba.
These Terms and Conditions govern access to and use of the Yenuba technology platform, currently under development and intended to make it easier to manage businesses, sales, clients, inventory, expenses and other administrative processes for entrepreneurs and small businesses.
The platform is operated by its owner, domiciled in Colombia. The owner's identification details will be updated once the company is formally incorporated.
By creating an account or using the platform, the user declares that they have read, understood and accepted these Terms and Conditions.
If the user does not agree with any of these provisions, they must refrain from using the platform.
OVERVIEW
YENUBA is a technology platform designed to help entrepreneurs, independent workers and small businesses manage their business from a single place.
Depending on the plan contracted, the platform may include features such as:
- Business dashboard
- Client management
- Product and service catalog
- Inventory
- Sales
- Expenses
- Cash flow
- Accounts receivable
- Reports
- Reminders
YENUBA may add, modify or withdraw features in order to improve the platform, comply with legal obligations or carry out technological updates. When changes significantly affect the contracted service, users will be informed through the channels enabled by the platform
Platform updates: YENUBA may add new features, tools and integrations in the future, including administrative, financial or invoicing services, which may be subject to specific terms or to modifications of these Terms and Conditions.
USER REGISTRATION
To use YENUBA the user must create an account providing truthful, complete and up-to-date information
The user is responsible for:
- Keeping their password confidential.
- Not sharing their account.
- Updating and editing their information when necessary.
- All activity carried out from their account.
YENUBA may suspend accounts that contain false or fraudulent information.
USE
YENUBA, both in its MOBILE APPLICATION and in its WEB PORTAL, allows the USER to manage the following processes, in accordance with the features available in the contracted plan and the current version of the platform:
- Create an account.
- Register their business.
- Manage clients.
- Register products and services.
- Manage inventory.
- Record sales.
- Record expenses.
- Control cash flow.
- Manage accounts receivable.
- Consult reports.
- Manage their business information.
- Account settings and user preferences
- Use the other features available in the current version of the application.
YENUBA may add new features, modify or withdraw tools, as well as update its services at any time. The use of such features will be subject to these Terms and Conditions and, where applicable, to additional conditions.
LICENSE
YENUBA grants the user a license that is:
- Non-exclusive.
- Non-transferable.
- Revocable.
- Limited.
This license allows the platform to be used solely to manage their business.
No ownership right over the software is acquired.
USER OBLIGATIONS
The user undertakes to:
- Use the platform in good faith.
- Not compromise the security of the system.
- Not copy the software.
- Not attempt to access other users' information.
- Not introduce viruses.
- Not use robots to extract information.
- Not use Yenuba for unlawful activities.
RECORDED INFORMATION
All information recorded by the user shall be their exclusive responsibility.
YENUBA does not verify the accuracy of:
- Sales
- Inventories
- Users
- Invoices or supporting documents recorded by the user
- Expenses
- Reports
The user is responsible for validating the information before making business decisions.
PLANS AND PAYMENTS
YENUBA may offer:
- Free plan.
- Paid plans.
- Premium features.
Prices may be modified with prior notice.
Subscriptions may renew automatically when the user so authorizes.
CANCELLATION
The user may cancel their subscription at any time. Cancellation does not automatically entitle the user to a refund, unless the law provides otherwise.
ACCOUNT SUSPENSION
YENUBA may suspend or cancel accounts when it detects:
- Fraud.
- Illegal activities.
- Breach of these terms.
- Abusive use of the platform.
- Attempts to compromise security.
TERMINATION
YENUBA may suspend or terminate the USER's access when the USER breaches these Terms and Conditions, carries out fraudulent activities, affects the security of the platform, or when a legal obligation so requires.
The USER may cancel their access by notifying YENUBA at least 3 calendar days in advance. YENUBA may terminate the user's access when there is a serious breach of these terms or for other causes provided by law.
The user may delete their account in accordance with the procedure established by Yenuba.
DURATION
These Terms shall remain in force for as long as the USER maintains an active account or continues to use the MOBILE APPLICATION or the WEB PORTAL
INTELLECTUAL PROPERTY
YENUBA is the owner of all intellectual property rights relating to the MOBILE APPLICATION and WEB PORTAL,
All Yenuba content is the property of the owning company, including:
- Software
- Design
- Database
- Source code
- Interfaces
- Yenuba brand
- Logo
- Manuals
- Documentation
The USER acquires no right over such assets, other than the limited rights of use set out in these Terms. The USER shall refrain from copying, reproducing, distributing, modifying, decompiling, reverse engineering, commercializing or exploiting, in whole or in part, the software, the source code, the brand, the design, the documentation or any other element protected by YENUBA's intellectual property rights without prior written authorization.
AVAILABILITY
YENUBA will make reasonable efforts to keep the platform available.
However, it does not guarantee uninterrupted availability due to:
- Updates.
- Maintenance.
- Provider failures.
- Cyberattacks.
- Fortuitous events.
- Force majeure.
BACKUPS
Yenuba may create backups of the information.
Nevertheless, the user is responsible for keeping their own backups when the information is critical for their business.
PERSONAL DATA PROTECTION
Personal data will be processed in accordance with YENUBA's Privacy Policy and Personal Data Processing Policy.
The USER undertakes to comply with Law 1581 of 2012, which governs the protection of personal data in Colombia, and with the regulations in force regarding data processing. Should the USER have access to personal data of users in the MOBILE APPLICATION or the WEB PORTAL, they undertake to treat it confidentially and to use such data solely for purposes related to their commercial activity.
CONFIDENTIALITY
Yenuba will implement reasonable security measures to protect users' information.
Nevertheless, no system is completely secure and absolute protection against security incidents cannot be guaranteed.
LIMITATION OF LIABILITY
YENUBA shall not be liable for:
- Economic losses arising from the use of the platform.
- Business decisions made by the user.
- Incorrect information entered by the user.
- Service interruptions caused by third parties.
- Damage caused by viruses originating from the user's equipment.
- Loss of business opportunities.
YENUBA does not guarantee that using the platform will increase the USER's sales, profitability or business growth, since such results depend on multiple factors beyond the platform's control.
YENUBA's liability shall be limited to the extent permitted by applicable law.
ACCOUNT SECURITY
The USER shall be solely responsible for keeping their access credentials confidential. Any activity carried out from their account shall be deemed performed by the USER, unless they demonstrate unauthorized access duly reported to YENUBA.
THIRD-PARTY LINKS AND SERVICES
YENUBA may integrate with third-party platforms or services. The use of such services shall be subject to the policies and conditions established by their respective providers, without YENUBA being responsible for their operation, availability or content.
FORCE MAJEURE
YENUBA shall not be liable for failure to perform its obligations when such failure is the result of force majeure or fortuitous events, including, among others, natural disasters, internet failures, widespread cyberattacks, labor disputes, governmental acts or any other circumstance beyond its reasonable control.
UPDATES TO THE TERMS AND CONDITIONS
Yenuba may modify these Terms and Conditions at any time. Modifications will be communicated through the MOBILE APPLICATION or WEB PORTAL, or by email where applicable.
GOVERNING LAW
These Terms and Conditions shall be governed by the laws of the Republic of Colombia. Any dispute shall be resolved by the competent courts of Colombia.
